JOB SUMMARY
The Senior Counsel is an executive level position responsible for assisting the General Counsel with maintaining legal compliance, directing litigation, corporate issues, employment law matters, regulatory concerns, legislative affairs, contracts, real estate and other similar issues.
CORE RESPONSIBILITIES
- Represent the company in litigation including pleadings, depositions, discovery, motions, trial strategy, legal research, and settlement negotiations.
- Prepare contracts, negotiate terms and conditions, and enforce the contract when necessary.
- Review contracts and suggest options more favorable to the company, when needed.
- Advise the Human Resources Department, managers and supervisors on employment issues to ensure compliance with labor laws.
- Review deeds, liens, easements, leases, and other real estate documents.
- Monitor legislative activities which may affect business operations or future plans.
- Advise the company on ways to protect its property rights.
- Ensure the corporate structure is preserved, prepare corporate resolutions, establish new related entities, and communicate with the officers and directors.
- Advise decision-makers in the company concerning the effects of legal issues on business operations.
- Meet with employees, customers, neighbors, government agencies, etc. to discuss legal issues listed above.
- Make public presentations when requested.
- Occasionally travel overnight to attend company or industry events.
- Occasionally entertain key persons of interest.
- Other duties as assigned.
REQUIRED SKILLS & QUALIFICATIONS
- Bachelor's degree
- Doctor of Jurisprudence from an American Bar Association-accredited law school
- At least eight years of professional legal experience in a business environment
- Knowledge of legal principles and practices, including civil, criminal, constitutional, contract, employment, administrative, regulatory, real estate, corporate, business and legislative
- Knowledge of legal procedures and practices in civil litigation, judicial procedures, rules of evidence
- Knowledge of federal, state and local statutes, judicial decisions and methods of legal research
- Ability to advise decision-makers on the effects of the legal issues on business operations
- Must demonstrate a thorough understanding of the company's structure and business operations
- Must maintain the required continuing legal education hours
- Excellent written and verbal communication in English
- Proficiency with the Microsoft Office suite - e.g., Word, Excel, Outlook, PowerPoint
- Strong supervisory and leadership skills
- Excellent attention to detail
PREFERRED SKILLS & QUALIFICATIONS
- Background in accounting, banking, engineering, geology, political science or other related fields
REQUIRED LICENSES & CERTIFICATIONS
- State of Texas law license
- Valid class C driver's license
- Record of safe driving for the last three years as shown on a current motor vehicle report (MVR), with no serious accidents or traffic violations
